1. Introduction and Acceptance of Terms

Welcome to VenueGeek.com (“VenueGeek,” “we,” “us,” or “our”), an online marketplace designed to connect individuals, businesses, organizations, and event planners with venues and event spaces throughout the United States.

These Terms and Conditions (“Terms”) govern access to and use of the VenueGeek website,
marketplace, booking services, and related features (collectively, the “Platform”).

By accessing the Platform, registering an account, listing a venue, submitting a booking request, or completing a reservation, you agree to comply with these Terms and all applicable policies incorporated by reference.

If you do not agree to these Terms, you should not use the Platform.

2. Description of Services

VenueGeek provides a digital marketplace where users can discover, compare, inquire about,
and reserve event venues.
Platform services may include:

  • Venue discovery and location-based searches.
  •  Venue profiles, photographs, amenities, and pricing information.
  •  Availability calendars and reservation requests.
  • Online booking and payment processing.
  • Communication between customers and venue partners.
  • Customer reviews and ratings.
  •  Booking management, cancellations, and refunds.
VenueGeek operates as a marketplace intermediary. Unless expressly stated otherwise

VenueGeek does not own, operate, manage, or control the venues listed on the Platform.

Venue rental services are provided by independent venue owners, operators, or authorized representatives (“Venue Partners”).

A confirmed venue booking generally establishes a rental arrangement between the customer and the applicable Venue Partner, subject to the booking agreement and these Terms.

VenueGeek remains responsible for its own obligations under applicable law and any services it
expressly agrees to provide.

3. User Eligibility and Account Registration

Users must be at least 18 years old and legally capable of entering into binding agreements to
create an account or make a reservation.
Users agree to:

  • Provide accurate and current registration information.
  • Maintain the confidentiality of account credentials.
  •  Promptly update outdated account information.
  •  Use the Platform only for lawful purposes.
  •  Notify VenueGeek of suspected unauthorized account access.

Users are responsible for activity conducted through their accounts, except to the extent resulting from VenueGeek’s misconduct, security failures, or other circumstances for which responsibility cannot lawfully be assigned to the user.

VenueGeek reserves the right to suspend or terminate accounts that violate these Terms, subject
to applicable law.

4. Venue Listings and Partner Responsibilities

Venue Partners are responsible for ensuring that all information published in their listings is accurate, complete, and not misleading. Each Venue Partner represents that it has the legal authority to advertise and rent the listed
property or event space.
Venue Partners agree to provide accurate information regarding:

  •  Venue location and physical address.
  • Rental rates and mandatory fees.
  •  Maximum occupancy and guest capacity.
  •  Available dates and booking restrictions.
  •  Venue amenities and accessibility features.
  •  Parking and transportation information.
  • Catering, alcohol, and outside-vendor policies.
  • Security requirements and event restrictions.
  • Cancellation and refund terms.
  • Applicable licenses, permits, and insurance requirements.

Venue Partners are responsible for complying with applicable federal, state, and local laws, including building codes, fire safety requirements, occupancy restrictions, nondiscrimination laws, and applicable accessibility requirements.

VenueGeek may request documentation to verify ownership, management authority, licensing,
or other listing information.

VenueGeek may remove or restrict listings containing inaccurate, misleading, fraudulent, or
prohibited information.

5. Venue Availability and Reservations

Venue availability displayed on the Platform is based on information provided by Venue Partners or connected scheduling systems.

VenueGeek does not guarantee that displayed availability will remain unchanged until a reservation is confirmed.

A booking request does not constitute a confirmed reservation.

Reservations are considered confirmed only after the applicable booking conditions have been satisfied and the customer receives confirmation through the Platform.

Depending on the venue, reservations may be processed through:

Instant Booking: Eligible reservations are confirmed after successful completion of the required booking and payment steps. In addition, confirmation by the Venue Partner.
Request to Book: Reservations require approval from the Venue Partner before becoming confirmed.
Custom Quote: Reservations are confirmed only after the customer accepts the applicable proposal, satisfies required payment conditions, and receives booking confirmation.

Customers are responsible for reviewing all reservation details before confirming a booking.

6. Pricing, Payments, and Marketplace Fees

Venue rental prices are established by Venue Partners unless otherwise expressly indicated.

The total cost of a reservation may include venue rental charges, mandatory services, marketplace fees, applicable taxes, security deposits, and optional services selected by the customer.

VenueGeek will disclose the applicable total price and material payment terms before the customer authorizes payment.

Mandatory charges that must legally be included in an advertised total price will be included in that price. Any permitted separately disclosed charges will be identified before payment.

VenueGeek may charge a marketplace service fee for facilitating bookings, processing transactions, or providing other disclosed services.

Payments may be processed through authorized third-party payment providers.

Customers authorize the applicable charges when completing a transaction and agree to any disclosed installment schedule.

VenueGeek does not guarantee the security or performance of independent payment providers, but remains responsible for obligations imposed on

VenueGeek by applicable law.

7. Deposits and Security Requirements

Certain venues may require a booking deposit, security deposit, or advance payment.

The amount, purpose, payment schedule, and refundability of each deposit must be disclosed before booking.

Booking deposits may be applied toward the total rental cost according to the applicable reservation terms.

Refundable security deposits may be used to cover documented property damage, extraordinary
cleaning costs, or other authorized charges permitted under the booking agreement and applicable law.

Venue Partners must provide a reasonable explanation and supporting documentation for any
security deposit deductions.

8. Cancellation and Refund Policy

VenueGeek recognizes that event plans may change.
Each participating Venue Partner must select an approved cancellation policy that will be displayed before the customer confirms a reservation.
The available policies may include:

Flexible Cancellation

  •  14 or more days before the event: 100% refund of venue rental charges.
  • 7–13 days before the event: 50% refund.
  • Less than 7 days before the event: No refund.

Moderate Cancellation

  •  30 or more days before the event: 100% refund of venue rental charges.
  •  14–29 days before the event: 50% refund.
  • Less than 14 days before the event: No refund.

Strict Cancellation

  • 60 or more days before the event: 100% refund of venue rental charges.
  • 30–59 days before the event: 50% refund.
  • Less than 30 days before the event: No refund.

Cancellation deadlines are calculated based on the venue’s local time and the scheduled event start time.

Marketplace fees, deposits, and optional services are subject to their separately disclosed refund terms.

If a Venue Partner cancels a confirmed reservation for reasons unrelated to customer misconduct or a qualifying extraordinary event, the customer will receive a full refund of amounts paid through VenueGeek for the affected reservation.

All cancellations are subject to the VenueGeek Cancellation Policy, applicable booking terms, and nonwaivable legal rights.

9. Rescheduling and Booking Modifications

Customers may request changes to an existing reservation through the Platform.

Requests may include modifications to the event date, time, guest count, event type, or selected services.

All modifications are subject to Venue Partner approval, availability, and applicable price adjustments.

Rescheduling requests do not guarantee approval or automatically suspend cancellation deadlines.

Any approved modification must be documented through the Platform.

10. Customer Responsibilities and Event Conduct

Customers are responsible for ensuring that events comply with the venue’s policies and applicable laws.

Customers agree to:

  • Observe maximum occupancy limits.
  • Follow venue safety requirements.
  •  Obtain any permits required of the event organizer.
  • Comply with noise ordinances and event-hour restrictions.
  • Respect venue property and surrounding communities.
  • Ensure guests and contracted vendors follow applicable venue rules.
  • Comply with alcohol, smoking, and prohibited-substance policies.
  • Avoid unlawful, dangerous, discriminatory, or disruptive activities.

Customers may be financially responsible for damage or other charges arising from their conduct or that of their guests or vendors, to the extent provided by the booking agreement and applicable
law.

Venue Partners may terminate events when reasonably necessary to address unlawful conduct, serious safety risks, or material violations of disclosed venue rules.

11. Insurance and Liability Requirements

Certain Venue Partners may require event liability insurance or other appropriate coverage as a condition of booking. Insurance requirements must be disclosed before reservation confirmation.

Customers are responsible for obtaining any insurance required under their booking agreement.

Venue Partners are responsible for maintaining insurance required by applicable law and any additional coverage they have agreed to maintain.

VenueGeek may establish minimum insurance requirements for certain venue categories or event types.

VenueGeek does not provide event insurance unless expressly identified as the provider of a separately offered insurance product.

12. Accessibility and Nondiscrimination

VenueGeek is committed to promoting fair and inclusive access to its marketplace.

Users and Venue Partners must comply with applicable nondiscrimination laws.

Venue Partners must accurately represent available accessibility features and must not knowingly misrepresent compliance with applicable accessibility requirements.

VenueGeek prohibits unlawful discrimination in venue listings, booking decisions, and use of the Platform.

Users may report suspected discriminatory conduct or inaccurate accessibility information through VenueGeek’s customer support channels.

13. Reviews, Ratings, and User Content

VenueGeek may permit customers to submit reviews, ratings, photographs, and other content relating to their experiences. Users agree that submitted content must be truthful, lawful, and based on genuine experiences.

Prohibited content includes:

  •  Fraudulent or fabricated reviews.
  • Harassment, threats, or hate speech.
  • Defamatory or knowingly false statements.
  • Unauthorized copyrighted material.
  • Private personal information disclosed without authorization.
  • Spam or deceptive promotional material.

Users retain ownership of content they create but grant VenueGeek a nonexclusive, worldwide, royalty-free license to host, reproduce, display, distribute, and adapt submitted content as reasonably necessary to operate and promote the Platform.

Users represent that they possess the rights necessary to grant this license.

VenueGeek may moderate or remove content that violates these Terms, applicable law, or
published content standards.

14. Prohibited Platform Activities

Users may not:

  • Create fraudulent accounts or listings.
  • Submit false booking information.
  •  Misrepresent ownership or authority over a venue.
  • Engage in payment fraud or unauthorized transactions.
  • Attempt to access another user’s account.
  • Introduce malicious software or interfere with Platform security.
  • Scrape, copy, or commercially exploit Platform content without authorization.
  • Manipulate ratings, reviews, or search results.
  • Use the Platform to facilitate illegal activities.
  • Circumvent applicable marketplace fees through deceptive booking arrangements.

VenueGeek may investigate suspected violations and take appropriate action, including removing content, restricting access, or referring unlawful conduct to appropriate authorities

15. Communications Between Users

VenueGeek may provide messaging tools to facilitate communication between customers and Venue Partners.

Users agree to communicate respectfully and provide accurate information.

VenueGeek may access, preserve, or review communications when reasonably necessary for customer support, fraud prevention, dispute resolution, legal compliance, or enforcement of these Terms, consistent with its Privacy Policy and applicable law.

Users should avoid sharing sensitive financial information through unsecured messaging
channels.

16. Third-Party Services

The Platform may integrate with third-party services, including payment processors, mapping services, calendar providers, and other technology partners.

These services may be governed by separate terms and privacy policies.

VenueGeek is not responsible for independent third-party services beyond its own legal or contractual obligations.

17. Intellectual Property

The VenueGeek name, website design, logos, graphics, software, original content, and other proprietary materials are owned by VenueGeek or its licensors.

Users may not reproduce, distribute, modify, or commercially exploit VenueGeek’s proprietary materials without prior written authorization, except as permitted by law.

Venue Partners retain ownership of their original photographs, descriptions, trademarks, and other content, subject to the license granted to VenueGeek for operating and promoting their listings.

18. Privacy and Data Protection

VenueGeek collects and processes personal information to operate the marketplace, manage accounts, facilitate reservations, process payments, provide customer support, and maintain Platform security.

Personal information will be handled in accordance with the VenueGeek Privacy Policy and applicable privacy laws.

Users should review the Privacy Policy for information concerning data collection, disclosure  retention, security, and available privacy rights.

19. Cancellations Due to Extraordinary Circumstances

Events beyond the reasonable control of the parties may interfere with confirmed reservations.

Examples include natural disasters, government-mandated closures, public emergencies, and conditions that render the booked venue inaccessible or unsafe.

VenueGeek may assist customers and Venue Partners in evaluating available remedies, including rescheduling, credits, or refunds.

Outcomes will depend on the circumstances, applicable booking terms, and governing law.

Nothing in this section eliminates refund rights or other protections required by law.

20. Dispute Resolution

Customers and Venue Partners are encouraged to resolve booking concerns through VenueGeek’s support process.

Users should provide relevant documentation, including booking confirmations, communications, photographs, receipts, or other supporting records.

VenueGeek may review disputes and facilitate a resolution but does not guarantee a particular outcome.

Unless VenueGeek expressly assumes a separate obligation, disputes concerning the physical condition, availability, operation, or performance of a venue generally remain matters between the customer and Venue Partner.

Nothing in this section prevents users from exercising nonwaivable legal rights, contacting regulatory authorities, or pursuing remedies available under applicable law.

21. Disclaimer of Warranties

VenueGeek endeavors to provide accurate information and reliable marketplace services.

However, except as expressly provided in these Terms or required by law, the Platform is provided on an “as available” basis.

VenueGeek does not independently guarantee the quality, safety, legality, suitability, or performance of every listed venue.

Venue descriptions, availability, photographs, and amenities may be supplied by independent Venue Partners.

Users are encouraged to review venue information, ask questions, and conduct appropriate due diligence before booking.

Nothing in this section excludes warranties or obligations that cannot legally be disclaimed.

22. Limitation of Liability

To the maximum extent permitted by applicable law, VenueGeek will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Platform, except where such limitations are prohibited by law.

VenueGeek’s responsibility for a claim will be determined by the nature of its role, applicable contractual obligations, and governing law.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or other matters for which liability cannot legally be excluded or limited.

23. Indemnification

To the extent permitted by law, Venue Partners agree to defend, indemnify, and hold VenueGeek harmless from third-party claims, damages, and reasonable expenses arising from their material violations of these Terms, unlawful conduct, or negligent operation of their venues, except to the extent caused by VenueGeek’s own misconduct or legal violations.

Customers agree to indemnify VenueGeek against third-party claims arising from their unlawful conduct or material breach of these Terms, subject to applicable law and any responsibility attributable to VenueGeek.

24. Account Suspension and Termination

VenueGeek may suspend or terminate accounts for material violations of these Terms, fraudulent conduct, significant safety concerns, or other lawful reasons.

Where reasonably practicable, VenueGeek will provide notice of account restrictions.

Termination does not automatically eliminate existing payment obligations, refund rights, or responsibilities associated with confirmed reservations.

VenueGeek will handle outstanding bookings and balances in accordance with applicable law and the relevant agreements.

25. Changes to Terms and Conditions

VenueGeek may periodically revise these Terms to reflect changes in services, business practices, legal requirements, or Platform functionality.

Material changes will be communicated through reasonable notice when required by law.

Updated Terms will be published with a revised effective date.

Changes will not retroactively alter confirmed booking terms without appropriate consent or another lawful basis.

26. Governing Law

These Terms will be governed by the laws of the United States, without regard to conflict-of-law principles, except where mandatory laws of another jurisdiction apply.

Any contractual selection of courts, venue, or dispute resolution procedures will be subject to applicable consumer protection laws and other nonwaivable rights.

27. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

28. Entire Agreement

These Terms, together with the Privacy Policy, Cancellation Policy, applicable booking confirmation, and any additional terms expressly accepted during a transaction, constitute the applicable agreement governing use of VenueGeek’s services.

In the event of a conflict, the specific booking terms disclosed and accepted at checkout will control the commercial details of that reservation, except where prohibited by law.
